Terms of Service

1. Acceptance of Terms

By accessing or using CleanSimple.app ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is operated by CleanSimple LLC ("Company", "we", "us", "our"). We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

CleanSimple provides a cloud-based business management platform for cleaning service companies, including but not limited to:

• Voice-to-job order creation using AI speech recognition
• Customer relationship management (CRM)
• Job scheduling and calendar management
• Invoice generation and payment processing
• Lead generation and outreach tools (HERMES module)
• Business analytics and reporting

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old to create an account. One account per business entity.

4. Subscription and Billing

4.1 Free Tier

We offer a free tier with limited features. No credit card required to start.

4.2 Paid Plans

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as stated in our Refund Policy.

4.3 Price Changes

We may change pricing with 30 days' notice. Existing subscribers will be honored at their current rate until the next renewal period.

4.4 Taxes

Prices do not include applicable taxes. You are responsible for any taxes imposed on your subscription.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Send unsolicited commercial communications (spam) in violation of CAN-SPAM, TCPA, or equivalent laws
• Attempt to reverse-engineer, decompile, or hack the Service
• Upload malicious code, viruses, or harmful content
• Impersonate another person or business
• Scrape, crawl, or use automated tools to extract data from the Service
• Resell or sublicense access to the Service without written permission

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.

6.1 Your Data

You retain ownership of all data you input into the Service ("Customer Data"). We do not sell your Customer Data to third parties.

6.2 Data Processing

We process voice recordings and text through third-party AI services (OpenAI Whisper, GPT) to provide the Service. Voice data is transcribed and stored as text. Original audio files are deleted within 24 hours.

6.3 Data Security

We use industry-standard encryption (TLS 1.2+, AES-256 at rest) and Supabase Row-Level Security to protect your data.

6.4 Data Portability

You may export your data at any time through the API or by contacting support. Upon account deletion, we will delete your data within 30 days.

7. Third-Party Integrations

The Service integrates with third-party services including:

• OpenAI — Voice transcription and AI parsing
• Supabase — Database and authentication
• Stripe — Payment processing
• Google Maps — Lead generation data

Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party service outages or data handling practices.

8. Intellectual Property

The Service, including all code, designs, logos, and documentation, is the property of CleanSimple LLC and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We do not guarantee uninterrupted, error-free, or secure operation of the Service

10. Indemnification

You agree to indemnify and hold harmless CleanSimple LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

11. Termination

You may cancel your account at any time from the Settings page or by contacting support.

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails and is not resolved within 7 days
• We are required to do so by law

Upon termination, your data will be available for export for 30 days, then permanently deleted.

12. Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
